Introduction
Firmtable provides professional services in consulting, designing, developing, maintaining websites, workflow automation, and no-code applications. By entering into an agreement with Firmtable, you (the “Client”) acknowledge and agree to the terms and conditions set forth herein.
Scope of Service
Firmtable agrees to provide the Client with services as outlined in the contract. These services are offered on a non-exclusive and non-transferable basis and will be delivered as per the details mentioned in the Project Contract.
Payment and Consideration
– The Client agrees to pay Firmtable the amount specified in the Project Contract. All payments are exclusive of applicable taxes and levies.
– Firmtable will submit an invoice based on the agreed-upon terms of the project. Payment is due within seven (7) working days from the date of the invoice.
– Clients can make payments via NEFT, UPI, Credit/Debit Card, or Netbanking. Cash transactions are not accepted. For payments via cheque, the client must deposit it directly to Firmtable’s bank.
– Extra charges may apply for payments made through credit or debit cards.
– In the event of client non-responsiveness exceeding 45 days after payment, the contract will be terminated, and the payment rendered will be non-refundable. The client may initiate a new contract within six months, with a 20% consultancy fee deducted from the original payment.
– Any delays in channel approval for integration do not affect the client’s obligation to settle dues. Integration will proceed once approval is obtained.
Copyright and Ownership
– All content provided by the Client for the website remains their intellectual property. Firmtable will not modify or claim ownership over any content without explicit consent from the Client.
– Firmtable will place a hyperlink at the bottom of the website, crediting Firmtable as the designer. Clients may request the removal of this credit, subject to their chosen plan’s terms and an additional one-time fee of ₹4,999.
– Upon completion of the project and full payment of dues, the Client will have exclusive ownership of the website, including the domain and hosting. Firmtable will relinquish all access and credentials post-delivery.
Website Design and Revisions
– Any redesign or new page additions beyond the originally agreed-upon services will incur additional charges.
– Design revisions will only be considered after the first draft, as specified in the Project Contract. Post-delivery changes will also incur separate charges.
– The quality and appearance of the website are directly dependent on the quality of the content provided by the Client.
– All requested changes must be communicated at once by the Client, and Firmtable will not entertain repeated individual requests.
Use of Resources and Plugins
– Firmtable uses original free resources and plugins for website design and development.
– Any additional professional or paid plugins required by the Client will incur extra charges.
Platform Disclaimer
– Websites will be developed on WordPress, Shopify, or Wix (no-code platforms). Certain advanced features available on highly coded websites may not be possible due to the limitations of these platforms.
Access and Privacy
– Firmtable will have managerial and administrative access to the website for support, bug fixes, and future modifications. The Client can terminate this access at any time.
– To facilitate domain and hosting purchases, Firmtable requires access to the Client’s Gmail account. This access is strictly for testing and optimization and will not be misused.
– Firmtable reserves the right to use the Client’s logo on its website and in its portfolio.
Warranty and Liability
– Firmtable ensures that the website will be delivered per the agreed specifications. Once the project is completed, Firmtable is not liable for any subsequent issues, including but not limited to domain, hosting, third-party services, or website speed.
– The Client is responsible for maintaining the website after handover. Any client-side changes to plugins, designs, or features absolve Firmtable of further responsibility.
– Firmtable does not guarantee the security or reliability of themes, plugins, domains, or hosting provided by third-party authors.
Content
– The Client is responsible for providing all necessary content within 7 to 10 working days of the advance payment. Failure to provide content within this timeframe will invalidate the original delivery timelines.
– Once content is submitted and published on the website, no changes can be made.
Integration
– Firmtable does not claim responsibility for the integration process or account activation with third-party channels. The Client must ensure integration verification and approval.
– Firmtable may assist with integration but is not the point of contact for any third-party services.
Maintenance and Other Services
– Maintenance services will be provided per the Project Contract from the day of delivery. After the complimentary period ends, maintenance charges will apply as per updated plans.
– If the Client opts for maintenance more than four months after website deployment, a ₹1,500 inspection fee will be charged.
– Communication between Firmtable and the Client will be conducted through a single point of contact for efficient coordination.
– In the event of overdue payments exceeding 30 working days after completion, Firmtable reserves the right to unpublish the website and charge a late fee of ₹3,000, in addition to the outstanding balance.
Termination
– Either party may terminate the agreement by providing written notice or email. Upon termination, Firmtable will deliver all in-progress and completed work. Development fees are non-refundable.
– If the Client fails to make the advance payment within seven (7) working days of signing, the contract will automatically terminate.
– Non-responsiveness exceeding 45 days will result in contract termination, and payments will be non-refundable.
Force Majeure
Delays caused by external factors such as internet outages, health issues, or civil disturbances are beyond Firmtable’s control. Firmtable will make reasonable efforts to communicate any timeline adjustments resulting from such events.
These terms and conditions represent the complete agreement between Firmtable and the Client. Both parties agree to abide by the terms outlined herein for a smooth and professional working relationship.
